These Terms of Use (“Terms") apply to you, the individual accessing or using the House IQ LLC (“House IQ," “we," “us," “our") website at https://www.house-iq.ai/ and any content, functionality, and service offered on or through the website (collectively, the “Website") or our proprietary software “House IQ," including any website, browser, online implementations or versions and mobile applications (the “App"), and form a binding agreement between you and House IQ effective as of the date you first accept these Terms, either by clicking “I agree" or by accessing or using the Website or the App. Your use of the Website and the App is also subject to House IQ's Privacy Policy, at https://www.house-iq.ai/privacy-policy/ (“Privacy Policy"), which is incorporated into these Terms.

PLEASE CAREFULLY READ THESE TERMS BEFORE ACCESSING OR USING THE WEBSITE OR DOWNLOADING OR USING THE APP. NOTE THAT THESE TERMS CONTAIN LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES, AND MANDATORY ARBITRATION AND JURY TRIAL AND CLASS ACTION WAIVER PROVISIONS THAT REQUIRE THE PARTIES TO RESOLVE ALL DISPUTES ON AN INDIVIDUAL BASIS AND LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF CERTAIN DISPUTES RELATING TO THE OPERATION OR USE OF THE WEBSITE OR THE APP. BY ACCESSING OR USING THE WEBSITE OR DOWNLOADING OR USING THE APP, YOU AGREE TO THESE TERMS AND YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST THE AGE OF MAJORITY IN YOUR COUNTRY OF RESIDENCE AND HAVE AUTHORITY TO ENTER INTO THESE TERMS.

In addition, access to the App may be provided to you through third party platforms, including the Apple App Store, Google Play store, and other platforms directed to the delivery of mobile applications to Android phones and tablets, iPhones, iPads, and other mobile devices.  Your use of the App is further subject to, and you agree to comply with, any third-party terms and conditions applicable to such third-party platforms.  Should any such third-party terms and conditions conflict with these Terms, then these Terms will control, solely to the extent such provisions apply to the App.

House IQ may update these Terms from time to time, with or without notice to you. If we make changes to these Terms, we will provide notice of such changes, such as by sending an email notification, providing notice through the Website or App or updating the “Last Updated" date at the beginning of these Terms.  Each time you access the Website or App, your continued access and use of the Website or App indicates your full acceptance and agreement to abide by these Terms in its then-current form, including any updates made by House IQ. If you do not agree to the revised Terms, you may not access or use the Website or App.

1. Access and Grant of Rights. Your access and use of the Website or the App are subject to these Terms. We have no obligation to provide the Website or the App and can withdraw or suspend the Website or the App (or any part of or feature on the Website or the App) at any time (without notice) in our discretion and will not be liable for any reason if the Website or the App is not available. We have the right to terminate, suspend or limit your access to the Website or the App at any time (without notice) in our discretion, including for any violation of these Terms. You are solely responsible for making any arrangements necessary to access the Website or the App.  You may be asked to provide certain information to access or use the Website or the App, and you represent and warrant to us that all such information is true and correct. Unless otherwise agreed in writing through a separate agreement between you and House IQ, you may only use the Website or the App for your personal use, for lawful purposes, subject further to the conditions and restrictions set forth in Section 3 below (“Permitted Purpose").

2. License to App. Subject to your compliance with these Terms, we grant to you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license, during the Term, to download, install, access and use the App, only in the United States and only on a mobile device including Android phones and tablets, iPhone, iPad, or iPod Touch owned or controlled by you, in each case, solely for the Permitted Purpose. All other use is expressly prohibited, and all rights not expressly granted by House IQ to you herein are reserved for House IQ. This license is revocable at any time by House IQ without notice and with or without cause.

3. Use Restrictions. You will not (and will not authorize or permit any other party to): (i) scrape or otherwise use automated methods to access or save any Website or App information; (ii) post any copyrighted content to the Website or the App without authorization or use the Website or the App to violate any laws or intellectual property rights; (iii) use the Website or the App to train machine learning or other artificial intelligence (“AI") models or related technology; (iv) reverse engineer, decompile, or otherwise obtain the source code or algorithms underlying the Website or the App; (v) sell or rent any Website or App information or your access to the Website or the App; (vi) copy, reproduce, modify, or make derivative works of the Website or the App; (vii) introduce any malware, viruses, or similar code into the Website or the App; (viii) use the Website or the App in any way to disable, overburden, damage or disrupt the Website or the App; (ix) otherwise use the Website or the App, including any Website or App information, in violation of these Terms or for any purpose other than the Permitted Purpose; (x) use the Website or the App to perform any dangerous, malicious, unethical or unlawful activities; (xi) submit, upload, provide or generate any content or Outputs that are obscene, pornographic, defamatory, harmful, harassing, abusive, or otherwise inappropriate; or (xii) attempt or agree to do any of the foregoing (i)-(xi).

4. Credit Products. We may, at our discretion, provide you with the opportunity to obtain a loan or other extension of credit (“Credit Product") through an affiliate or a non-affiliated company (“Credit Partner"). We may, through the Website, the App, or otherwise, direct to you to one or more Credit Partners to obtain a Credit Product. You understand and agree that the Credit Partners are separate and distinct from House IQ, and House IQ is not responsible for the terms of any Credit Product. An application for a Credit Product may be required. House IQ is not responsible or determining whether you are approved for or denied any Credit Product, and approval is not guaranteed. All questions or communications regarding any Credit Product should be directed to the specific Credit Partner that offers you the Credit Product.

5. Referral Fees and Other Compensation. We may receive referral fees or other compensation for Credit Products offered by our Credit Partners except as otherwise prohibited by applicable law or regulations. You agree that any marketing or promotion of a Credit Product through the Website or the App is not a recommendation or independent advice, and that you are solely responsible for researching all Credit Products and determining whether a particular Credit Product meets (or does not meet) your needs.

6. Security. If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures (“Account Credentials"), you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or the App or portions thereof using your Account Credentials. You agree to notify us immediately of any unauthorized access to or use of Account Credentials, or any other breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information. You are responsible for all usage and activity associated with your account. We are not liable for any losses or damages arising from your failure to comply with any of the foregoing obligations. We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, at our sole discretion, and we reserve all rights to take further action, including further investigation or to refer you to appropriate law-enforcement agencies. It is your responsibility to implement appropriate IT security safeguards (including anti-virus and other security checks) to protect your devices and data.

7. Termination. You may stop using the Website or the App at any time. House IQ reserves the right to suspend or terminate your access to the Website or the App upon written notice to you if House IQ determines (i) you have breached any provision of these Terms; (ii) you misuse the Website or the App, or (iii) House IQ must do so to comply with any applicable laws or regulations.

8. End-User Data, Usage Data, and Feedback. In connection with your use of the Website or the App, you may provide certain data or information about or identifying you, including, but not limited to, your name, Account Credentials, email address and other contact information (“End-User Data") to House IQ. By providing this End-User Data to House IQ in connection with your use of the Website or the App, you represent and warrant that you have all rights, consents and licenses necessary to transmit and provide access to such End-User Data to House IQ and to permit House IQ to use such End-User Data as contemplated herein and as described in the Privacy Policy, including in connection with the provision of the House IQ services by or on behalf of House IQ, and that such use of the End-User Data by House IQ does not and will not infringe, misappropriate, or otherwise violate any intellectual property rights or any privacy or other rights of any third party, or violate any applicable law. You may be required to provide access to House IQ or its designee to any metrics, patterns, trends, metadata, benchmarking, log, system, or usage data derived from your use of the Website or the App (“Usage Data"), log data, bug reports, and other information generated by the Website or the App in connection with your use. You agree that House IQ may use such information for the purpose of maintaining, supporting, enhancing and improving the Website or the App and House IQ's other products and services.

You grant to House IQ a non-exclusive, worldwide, royalty-free, transferable, irrevocable, sublicensable (through multiple tiers), perpetual, fully paid up right and license to use, reproduce, modify and otherwise exploit the End-User Data to (i) use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, prepare derivative works of or incorporate into other works, and translate your End-User Data, in connection with the Website or App or in any other media; and (ii) sublicense these rights, to the maximum extent permitted by applicable law. We will not pay you for your End-User Data or to exercise any rights related to your End-User Data set forth in the preceding sentence. We may remove or modify your End-User Data at any time. You are solely responsible for all End-User Data made through your user account(s) on the Website or App or that you otherwise make available through the Website or App.

You may provide suggestions, comments, and feedback to House IQ regarding the Website, the App or otherwise, including but not limited to, usability, feature requests or enhancement, content, performance, operation, output, bug reports and test results (“Feedback").  You agree House IQ may use and analyze the Feedback to improve and develop the Website or the App and House IQ's other products and services, without any obligation or compensation to you.

9. Ownership of Website and App. House IQ retains sole and exclusive ownership of, and you do not acquire any ownership or other rights (other than your limited right to use the Website or the App for the Permitted Purpose) in or to the Website or the App or any contents, features, know-how, images, designs, functionality, software, or other technologies that are related to the Website or the App or Outputs generated by the AI Features, including any intellectual property rights therein and improvements thereto.

10. Artificial Intelligence and Automated Features. Certain features of the Website and the App may use artificial intelligence technology, including generative artificial intelligence developed by House IQ and/or third-party providers, such as smart search, recommendations, conversational assistants, image and document analysis, contextual guidance, and renovation tools (“AI Features"). The AI Features may allow you to submit text, documents, images, or other materials (“Prompts") and receive AI-generated responses, results, data or content (“Outputs"). When you use the AI Features, you are interacting with an AI system. You acknowledge and agree that the AI Features may be a useful tool, but are not a substitute for human judgment and creativity and that AI Features can be prone to “hallucinations," false answers or information, or information that is stale, and therefore responses must always be carefully verified by a human. Additionally, the AI Features are provided for general informational purposes only and are not a substitute for professional advice. House IQ is not an appraiser, attorney, financial advisor, or tax advisor, and the AI Features do not provide appraisal, legal, financial, or tax advice. Any Outputs generated by the AI Features are not appraisals, valuations, or guarantees, and may be inaccurate or incomplete. You are responsible for verifying any Outputs before making decisions, and any reliance is at your sole risk. You may not use the AI Features in any way that is unlawful, infringes the rights of others, or violates these Terms. When information is shared with the AI Features, the AI Features may retain and use that information to provide more personalized Outputs. Do not share information that you do not want the AI Features to use and retain, such as End-User Data, Account Credentials, financial information, or other personal or sensitive information about you or others, confidential or proprietary information, or trade secrets, in your Prompts. Do not upload images, likenesses, or other identifying information or content containing other individuals without obtaining all necessary consents. By using the AI Features, you consent to House IQ processing your Prompts and resulting Outputs as contemplated herein and as described in the Privacy Policy, including sharing with third-party providers to provide and improve the AI Features. Do not submit information you do not want processed or shared as described in the Privacy Policy. The AI Features operate automatically and do not have authority to bind House IQ. The AI Features may use or be used in connection with content, services, features, and integrations provided by third parties. House IQ is not responsible for your use of third-party content, services, features, and integrations, and you use these at your own risk. House IQ may update, suspend, or discontinue any AI Features at any time without notice.

11. Third Party Links. The Website or the App may contain links to other websites, mobile apps, software, social media platforms, data, or other content maintained by third parties (“Third-Party Websites"). Such links are provided merely as a convenience. House IQ makes no warranties or representations of any kind as to the accuracy, currency, or completeness of such Third-Party Websites. Inclusion of any link to a Third-Party Website on the Website or the App does not imply an endorsement or recommendation by House IQ. Your use of any Third-Party Websites is at your own risk and will be governed by any applicable third party's terms and policies applicable to such Third-Party Websites.

12. Claims of Copyright Infringement. In accordance with the Digital Millennium Copyright Act (“DMCA"), House IQ will promptly respond to notices of alleged copyright infringement that are reported to House IQ's designated agent, identified below. House IQ reserves the right to delete or disable content alleged to be infringing. If you are a copyright holder or a copyright holder's agent, please report alleged copyright infringements taking place on the Website by sending House IQ's designated agent a signed notice that identifies (i) the copyrighted work that is claimed to have been infringed; (ii) the material claimed to be infringing and to which access is to be disabled, including at a minimum, if applicable, a description of where such material may be found on the Website or the App; (iii) your mailing address, telephone number, and, if available, email address; (iv) whether you believe there is no good faith basis for the disputed use of the copyrighted material to have been authorized by the copyright owner, its agent, or the law (e.g., as a fair use); and (v) your full legal name and the full legal name of any copyright holder you represent. 13. Trademarks. The names, logos, and other trademarks of House IQ and other third parties that may appear on the Website or the App, whether or not appearing with the trademark symbol, are trademarks of House IQ, its affiliates, or other third parties. These Terms do not grant you any right to use these trademarks and you may not use these trademarks for any marketing or advertising purpose unless expressly authorized by the trademark owner (or their agent) in writing.

14. Indemnification. EXCEPT TO THE EXTENT PROHIBITED BY LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS HOUSE IQ AND ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS (THE “HOUSE IQ PARTIES") FROM AND AGAINST ANY JUDGMENT, LIABILITY, COST, EXPENSE, DAMAGE, OR OTHER LOSS (INCLUDING REASONABLE ATTORNEYS' FEES AND OTHER COSTS AND EXPENSES OF LITIGATION OR DEFENSE) (COLLECTIVELY, “LOSSES") TO THE EXTENT ARISING FROM ANY THIRD-PARTY CLAIM THAT ALLEGES OR IS BASED ON (I) YOUR BREACH OF THESE TERMS, (II) YOUR FRAUD, GROSS NEGLIGENCE, OR INTENTIONAL MISCONDUCT, (III) YOUR MISUSE OF THE WEBSITE OR THE APP, INCLUDING ANY AI FEATURES OR OUTPUTS, OR (IV) ANY END-USER DATA, PROMPTS, FEEDBACK OR OTHER INFORMATION YOU MAKE AVAILABLE TO THE WEBSITE, THE APP, INCLUDING ANY AI FEATURES, OR HOUSE IQ. WE RESERVE THE RIGHT TO CONTROL THE DEFENSE OF ANY MATTER FOR WHICH YOU ARE REQUIRED TO INDEMNIFY US, AND YOU AGREE TO COOPERATE WITH OUR DEFENSE OF THESE CLAIMS.

15. Limitations of Liability. Nothing in these Terms will prejudice the statutory rights that you may have as a user of the Website or the App. Some countries, states, provinces or other jurisdictions do not allow the exclusion of certain warranties or the limitation of liability as stated in this section, so the below terms may not fully apply to you. Instead, in such jurisdictions, the exclusions and limitations below shall apply only to the extent permitted by the laws of such jurisdictions.

IN NO EVENT WILL HOUSE IQ OR THE HOUSE IQ PARTIES BE RESPONSIBLE OR LIABLE FOR ANY PUNITIVE, CONSEQUENTIAL, INCIDENTAL, SPECIAL, REMOTE, EXEMPLARY, COLLATERAL, SPECULATIVE OR INDIRECT DAMAGES OF ANY KIND (INCLUDING ECONOMIC DAMAGES, DAMAGES ARISING FROM INJURY TO PERSONS OR PROPERTY, LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, OR LOSS OF OPPORTUNITY) ARISING FROM OR IN CONNECTION WITH THESE TERMS, THE WEBSITE, THE APP, OR AI FEATURES, INCLUDING ALL WEBSITE AND APP INFORMATION AND OUTPUTS. THE TOTAL AGGREGATE LIABILITY OF HOUSE IQ AND THE HOUSE IQ PARTIES FOR ANY LOSSES OR OTHER AMOUNTS ARISING FROM OR IN CONNECTION WITH THESE TERMS, THE WEBSITE, THE APP, ANY AI FEATURES, INCLUDING ALL WEBSITE AND APP INFORMATION AND OUTPUTS, WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID HOUSE IQ IN THE PREVIOUS SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100). THE LIMITATIONS OF THIS SECTION WILL APPLY TO ANY THEORY OF LIABILITY, INCLUDING THOSE BASED ON WARRANTY, CONTRACT, STATUTE, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF THE HOUSE IQ PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF ANY REMEDY SET FORTH IN THESE TERMS IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.      

16. Disclaimer of Warranties. THE WEBSITE AND THE APP, INCLUDING ANY AI FEATURES AND OUTPUTS, ARE MADE AVAILABLE SOLELY FOR GENERAL INFORMATION PURPOSES, THE HOUSE IQ PARTIES DO NOT PROVIDE ANY REPRESENTATION OR WARRANTY AS TO THE ACCURACY, COMPLETENESS, RELIABILITY OR USEFULNESS OF THE WEBSITE, APP, AI FEATURES OR OUTPUTS.  ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS STRICTLY AT YOUR OWN RISK.  WE DISCLAIM ALL LIABILITY AND RESPONSIBILITY ARISING FROM ANY RELIANCE PLACED ON SUCH INFORMATION BY YOU, ANY VISITOR TO OR USER OF THE WEBSITE OR THE APP, OR BY ANYONE WHO MAY BE INFORMED OF ANY OF ITS CONTENTS. TO THE FULLEST EXTENT PROVIDED BY LAW, THE HOUSE IQ PARTIES WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR THE APP, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR THE APP, INCLUDING ANY AI FEATURES, OR YOUR DOWNLOADING OF ANY MATERIAL POSTED THEREIN, OR ON ANY WEBSITE LINKED THERETO. HOUSE IQ DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES WHATSOEVER, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE WITH RESPECT TO THE WEBSITE OR THE APP, INCLUDING THE WEBSITE AND APP INFORMATION AND OUTPUTS. ALL IMPLIED WARRANTIES, INCLUDING AS TO SATISFACTORY QUALITY, PERFORMANCE, MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NONINFRINGEMENT ARE HEREBY EXPRESSLY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND THE WEBSITE, THE APP AND AI FEATURES, INCLUDING ALL WEBSITE AND APP INFORMATION AND OUTPUTS, ARE PROVIDED ON AN AS-IS WHERE-IS AND AS AVAILABLE BASIS WITH ALL FAULTS.

17. Release. To the fullest extent permitted by applicable law, you release House IQ and the other House IQ Parties from responsibility, liability, claims, demands, and/or damages of every kind and nature, in any way arising out of or related to the operation, or your use, of the Website or App that in any way arise out of or related to the acts or omissions of third parties (“Third Party Disputes"). IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE ANY RIGHTS YOU MAY HAVE ARISING OUT OF THESE TERMS UNDER CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY." YOU ALSO WAIVE ANY RIGHTS YOU MAY HAVE WITH RESPECT TO THIRD PARTY DISPUTES UNDER ANY OTHER STATUTE OR COMMON LAW PRINCIPLES THAT WOULD OTHERWISE LIMIT THE COVERAGE OF THIS RELEASE TO INCLUDE ONLY THOSE CLAIMS WHICH YOU MAY KNOW OR SUSPECT TO EXIST IN YOUR FAVOR AT THE TIME OF AGREEING TO THIS RELEASE.

18. Agreement to Arbitrate. YOU AND THE HOUSE IQ PARTIES AGREE THAT ANY CONTROVERSY OR CLAIM THAT MAY ARISE BETWEEN YOU AND THE HOUSE IQ PARTIES RELATING IN ANY WAY TO YOUR USE OF THE WEBSITE OR APP (A “CONTROVERSY") SHALL BE SETTLED BY ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA") IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, EXCEPT WHERE THERE IS A CONFLICT OR INCONSISTENCY BETWEEN AAA'S RULES AND PROCEDURES AND THESE TERMS OF USE, IN WHICH CASE, THESE TERMS OF USE WILL GOVERN. NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY BRING ITS CLAIM IN  SMALL CLAIMS COURT, IF PERMITTED BY THAT SMALL CLAIMS COURT'S RULES AND IF WITHIN SUCH COURT'S JURISDICTION, AND NOTHING HEREIN SHALL BE READ TO PROHIBIT THE HOUSE IQ PARTIES FROM SEEKING INJUNCTIVE OR EQUITABLE RELIEF AGAINST YOU IN A COURT WITH APPROPRIATE JURISDICTION IN CONNECTION WITH YOUR USE OF THE WEBSITE OR THE APP OR ANY VIOLATION OF THESE TERMS.

At least thirty (30) days prior to commencing any arbitration hereunder, you are required to give written notice of the facts and circumstances of your claim(s) to the House IQ Parties at 157 W. 18th St., 6th Floor, New York, NY 10011. The House IQ Parties may, but are under no obligation to, engage in privileged settlement negotiations with you during this 30-day period. To be valid, your notice of dispute must include: (1) your name; (2) an email address and telephone number at which you may be reached during business hours; (3) a description of the nature and basis of your claims or dispute (including, where applicable, specific dates); (4) an explanation of the specific relief sought; (5) your physical or electronic signature; and (6) if you have retained an attorney, your signed statement authorizing the House IQ Parties to disclose your confidential account records to your attorney if necessary in resolving your claim. NO SETTLEMENT DEMAND OR SETTLEMENT OFFER USED IN THIS PRE-DISPUTE RESOLUTION PROCESS MAY BE USED IN ANY PROCEEDING, INCLUDING AS EVIDENCE OR AS AN ADMISSION OF ANY LIABILITY OR DAMAGES (OR LACK THEREOF).

Each party will bear its own costs of arbitration unless the arbitrator directs that bearing such costs would be an undue burden and in that case, we will pay for your portion of the arbitration administrative costs (but not your attorneys' fees). Claims shall be heard by a single arbitrator. Where the amount of an alleged claim totals less than $250,000, the arbitration will be based on the submission of documents and shall be decided without a hearing, unless the parties agree otherwise in writing.

Federal and state statutes of limitation, repose, and/or other rules, laws, or regulations impose time limits for bringing claims in federal and state court actions and proceedings. The parties agree that all federal or state statutes of limitation, repose, and/or other rules, laws, or regulations imposing time limits that would apply in federal or state court, apply to any Controversy, and such time limits are hereby incorporated by reference. Therefore, to the extent that a Controversy arises and would be barred by a statute of limitation, repose or other time limit, if brought in a federal or state court action or proceeding, the parties agree that such Controversy shall be barred in an arbitration proceeding, and that such defense may be asserted on a dispositive motion prior to any discovery.

Any award in an arbitration shall be limited to monetary damages and shall include no injunction or direction to any party other than the direction to pay a monetary amount. Except to the extent required by law to be permitted, the arbitrator will have no authority to award punitive, consequential, special or other damages that are not directly compensatory in nature, regardless of the cause or foreseeability thereof. The arbitrator will have the authority to allocate the costs of the arbitration process among the parties, but will only have the authority to allocate attorneys' fees if a particular applicable law so provides.

You understand that the right to appeal or to seek modification of any ruling or award by the arbitrator is severely limited under state and federal law. This arbitration provision will be enforced and interpreted exclusively in accordance with applicable federal laws of the United States, including the Federal Arbitration Act.

If 25 or more individuals submit notices or attempt to initiate arbitrations with the House IQ Parties raising similar claims, and counsel for the individuals bringing the claims are the same or coordinated (“Mass Claims"), you and the House IQ Parties agree that if the claims are not resolved and proceed to arbitration, they shall proceed in staged bellwether proceedings. You understand and agree that if you choose to initiate your claim as part of Mass Claims, the adjudication of your claim might be delayed. Counsel for the individuals and counsel for the House IQ Parties shall each select ten cases (per side) to be filed in and proceed in arbitration in a bellwether proceeding to be resolved individually. Each case shall be assigned to a separate arbitrator. In the meantime, no other cases may be filed in arbitration, and AAA shall not accept or administer arbitrations commenced in violation of these procedures. If the parties are unable to resolve the remaining cases after the conclusion of the first stage bellwether proceeding, each side may select another ten cases (per side) to be filed in and proceed in arbitration in a second bellwether proceeding to be resolved individually. Each case shall be assigned to a separate arbitrator. This process shall continue until the parties are able to resolve all of the Mass Claims, either through settlement or arbitration. If these mass arbitration procedures apply to a claimant's notice, any statute of limitations applicable to the claims set forth in that notice will be tolled from the time the first cases are selected for a bellwether proceeding until the claimant's notice is selected for a bellwether proceeding, withdrawn, or otherwise resolved. A court will have the authority to enforce these mass arbitration procedures and, if necessary, to enjoin the filing or prosecution of arbitrations.

Except as may be required by law, neither the parties nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties.

You agree to the following additional provisions regardless of your place of residence at the time a Controversy arises:

  • You agree that any arbitration hearing will be held in New York City, New York unless otherwise agreed by you and the House IQ Parties in a signed writing;

  • All arbitrations will be held in the English language, unless otherwise agreed to by the parties; and

  • You agree that this agreement to arbitrate shall be binding on you, your heirs, administrators, representatives, executors, successors and assigns.

19. Jury Trial Waiver; Class Action Waiver. YOU HEREBY WAIVE YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY-GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING, AND THAT NO COURT OR DECISION-MAKING AUTHORITY MAY CONSOLIDATE YOUR CLAIMS WITH ANY OTHER PERSONS' CLAIMS INTO A CLASS OR REPRESENTATIVE PROCEEDING.

20. Governing Law. These Terms will be construed and enforced in accordance with the laws of the State of New York, without giving effect to principles of conflicts of law, and any litigation arising out of or connected in any way with these Terms shall take place on an individual basis exclusively in the federal and state courts located in the State of New York, and in connection therewith, you expressly agree to submit to the exclusive personal jurisdiction of the federal and state courts located in the State of New York.

21. Amendments. House IQ reserves the right to change these Terms, the Website, or the App at any time. House IQ will post any such changes to the Website or the App and will use commercially reasonable efforts to notify you of any material changes. It is your responsibility to periodically check the Website or the App so that you are aware of what the current Terms are. Your continued use of the Website or the App will constitute your acceptance of any amended Terms.

22. Entire Agreement. The Terms and the Privacy Policy constitute the entire agreement between you and House IQ regarding the Website and the App, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website or the App.
